The plaintiff was a business broker who filed suit against the defendant, a nutritional corporation, and its individual officer. The plaintiff alleged that the defendants breached an amended commission agreement and failed to pay the commission due and owing to the plaintiff for facilitating the sale of the business. The defendants argued that there was an amendment to the original engagement contract, which allowed the defendant to pay the plaintiff’s commission over time. The individual defendant also argued that he signed the agreement only in a corporate capacity, and had no personal liability for the commission due to the plaintiff.

The plaintiff alleged that the original engagement agreement between the parties had been breached, and contended that there was no authority by the individual who signed on behalf of the plaintiff business broker to enter into the amended engagement agreement, setting forth a longer time for the defendant to pay the commission due. The plaintiff also supported that the individual defendant signed the agreement both as an officer of the defendant company and individually.

The defendant argued that there was an authorized and approved amendment to the original engagement agreement, which allowed for the plaintiff’s commission to be paid by the defendant over time.The jury found that the defendant corporation breached the original engagement contract (discounted the amendment) and awarded the plaintiff $________. The jury also determined that the individual defendant signed only in a corporate capacity, and a defense verdict was entered for the individual defendant.
